What's in these terms?
These terms tell you the rules for using the Torch App(referred to herein as our application, or our website).

Torch is an App operated by CONCLUSION LIMITED (We). We are registered in England and Wales under company number 12812109 and have our registered office at 71-75 Shelton Street, London, United Kingdom, WC2H 9JQ.

By using our application you accept these terms
By using our application, you confirm that you accept these terms of service and that you agree to comply with them.
If you do not agree to these terms, you must not use our application.
We recommend that you print a copy of these terms for future reference.

We may update and change our application from time to time to reflect changes to our products, our users' needs and our business priorities. We will try to give you reasonable notice of any major changes.

We may suspend or withdraw our application
Our application is made available free of charge. At this time, we have no in-App subscriptions or payment requests or requirements.
We do not guarantee that our application, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our application for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
You are also responsible for ensuring that all persons who access our application through your internet connection are aware of these terms of service and other applicable terms of service, and that they comply with them.

We may transfer this agreement to someone else
We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

Our application use
Our application is directed to people residing in the United Kingdom. We do not represent that content available on or through our application is appropriate for use or available in other locations. If you do access the Torch App outside the United Kingdom, please be aware that in doing so this is expressly governed by the laws of England and Wales.
You must keep your account details safe
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of service.
If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at support@torchsocial.com.

How you may use material on our application
We are the owner or the licensee of all intellectual property rights in our application, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
By uploading content to our application, you do so in accordance with the Appropriate Use Policy and shall ensure that any licenses or approvals required by third party intellectual property rights holders are complied with in relation to content posted by you.
You must not use any part of the content on our application for commercial purposes without obtaining a licence to do so from us or our licensors.
If you print off, copy, download, share or repost any part of our application in breach of these terms of service, your right to use our application will cease immediately and you must, at our option, return or destroy any copies of the materials you have made (except that you are permitted to print off a copy of these terms of service).

No text or data mining, or web scraping
Unless previously agreed by Conclusion Limited in writing, You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our application or any services provided via, or in relation to, our application for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):

Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our application or any data, content, information or services accessed via the same.

Any automated analytical technique aimed at analysing text and data in digital form to generate information [or develop, train, fine-tune or validate AI systems or models] which includes but is not limited to patterns, trends and correlations.

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
You shall not use, and we do not consent to the use of, our application, or any data published by, or contained in, or accessible via, our application or any services provided via, or in relation to, our application for the purposes of developing, training, fine-tuning or validating any AI system or model or for any other purposes not explicitly set out in our Acceptable Use Policy.
This clause will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
Any third-party web scraping or data mining activity should be agreed in advance and in writing with Conclusion Limited.
Our application, its content and any services provided in relation to the same is only targeted to, and intended for use by, individuals located in the United Kingdom (Permitted Territory). We reserve the right to adjust the list of Permitted Territories from time to time. By continuing to access, view or make use of our application and any related content and services, you hereby warrant and represent to us that you are located in a Permitted Territory. For the avoidance of doubt, use of the Torch App is governed by the laws of England and Wales.

Rules about linking to our application
You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
You must not establish a link to our application in any website that is not owned by you.
Unless specifically agreed in writing with Conclusion Limited, our application must not be framed on any other site, nor may you create a link to any part of our application other than the home page.
We reserve the right to withdraw linking permission without notice.
The website in which you are linking must comply in all respects our Acceptable Use Policy.

Our trademarks
"TORCH" is a UK registered trademark of Conclusion Limited.
The figurative “T” symbol is a trademark of Conclusion Limited.
You are not permitted to use them without our approval.

Uploading content to our application
Whenever you make use of a feature that allows you to create content directly on our application, upload or share content to our application, or to make contact with other users of our application, you must comply with the standards set out in our Acceptable Use Policy. A link to our Acceptable Use Policy is available herein and on our website. In the event that you are unable to access our Acceptable Use Policy please contact us in order to obtain a copy.
You warrant that any such contribution complies with those standards, and you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
We will consider any content you upload to our application to be non-confidential and not protected by any trade mark, patent or copyright ("non-proprietary"), that is, in the public domain. You own your content, but you are required to grant us and other users of our application a limited licence to use, store and copy that content and to distribute and make it available to others.
We also have the right to disclose your identity to anyone who is claiming that any content posted or uploaded by you to our application violates their intellectual property rights or their right to privacy.
We have the right to remove any posting you make on our application if, in our opinion, your post does not comply with the acceptable use standards set out in our Acceptable Use Policy.

Rights you are giving us to use material you upload
When you upload or post content to our application, you grant us the following rights to use that content:

A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by the website and across different media including to promote our application or the service forever.

A worldwide, non-exclusive, royalty-free, transferable licence for other users, partners or advertisers to use the content for their purposes and/or in accordance with the functionality of our application forever.
For the avoidance of doubt, you must ensure you are legally entitled to distribute and upload all material to our application before doing so.
User-generated content is not approved by us
Our application may include information and materials uploaded by other users. This information and these materials have not been verified or approved by us. The views expressed by other users on our application do not represent our views or values.

Do not rely on information on this application
The content on our application is provided for general information only. It is not intended to amount to advice or news on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our application.
Although we make reasonable efforts to update the information on our application, we make no representations, warranties or guarantees, whether express or implied, that the content on our application is accurate, complete or up to date.

We are not responsible for websites we link to
Where our application contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
For the avoidance of doubt, you must not insert links to a third-party site without the prior written approval of Conclusion Limited.
We have no control over the contents of those sites or resources.

We are not responsible for viruses
We do not guarantee that our application will be secure or free from bugs or viruses.
You are responsible for configuring your information technology, computer programs and platform to access our application. You should use your own virus protection software.

You must not introduce viruses
You must not misuse our application by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interacting with our application or any part of it. You must not attempt to gain unauthorised access to our application, the server on which our application is stored or any server, computer or database connected to our application or any other equipment or network connected with our application. You must not interfere with, damage or disrupt any software used in the provision of our application or any equipment or network or software owned or used by any third party on which this application relies in any way. You must not attack our application via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our application will cease immediately and we reserve all rights in this regard.
Our responsibility for loss or damage suffered by you

Whether you are a consumer or a business user:

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

We exclude all implied conditions, warranties, representations or other terms that may apply to our application or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of or reliance on any content displayed on our application.

loss of profits, sales, business, or revenue;

We only provide our application for domestic and private use. You agree not to use our application for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.
Age Requirements and Verification
By using our application, you represent and warrant that:

You have the legal capacity to enter into these Terms of Service.

You will provide accurate and truthful information about your age during the registration process and at all times while using the Torch App.

You acknowledge that providing false age information or attempting to circumvent our age verification processes constitutes a material breach of these Terms of Service.

Conclusion Limited reserves the right to:

Requesting additional information or documentation

Conducting verification checks

Using third-party verification services

Monitoring usage patterns and behaviour

Suspend or terminate your account if:

We have reasonable grounds to believe you have provided false age information

You fail to provide requested age verification information

We detect attempts to circumvent our age verification processes

Your usage patterns suggest non-compliance with age requirements

Report suspected violations of age requirements to relevant authorities where legally required or where we deem necessary.
False Declaration Consequences
You acknowledge and agree that:

A material breach of these Terms of Service

Grounds for immediate account termination

Legal fees incurred in enforcement

No Warranty:
CONCLUSION LIMITED MAKES NO REPRESENTATION OR WARRANTY ABOUT THE APPLICATION, INCLUDING ANY REPRESENTATION THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE APPLICATION (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, CONCLUSION LIMITED DISCLAIMS ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Exclusion of Liability:
TO THE FULLEST EXTENT PERMITTED BY LAW (AND UNLESS CONCLUSION LIMITED HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THESE TERMS OF SERVICE), CONCLUSION LIMITED WILL NOT BE LIABLE IN CONNECTION WITH THESE TERMS OF SERVICE FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.
CONCLUSION LIMITED WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THESE TERMS OF SERVICE FOR ANY AMOUNT THAT EXCEEDS THE LOWER OF EITHER (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO CONCLUSION LIMITED FOR THE SERVICES RENDERED, IF ANY, OR (B) GBP £1000.

Exclusions
The limitations of liability described herein are part of the basis of the bargain between you and Conclusion Limited and shall apply to all claims of liability (e.g., warranty, tort, negligence, contract and law) even if Conclusion Limited or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.
THESE LIMITATIONS OF LIABILITY DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY OR FOR FRAUD, GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, OR IN CASES OF NEGLIGENCE, WHERE A MATERIAL OBLIGATION HAS BEEN BREACHED. A MATERIAL OBLIGATION BEING AN OBLIGATION WHICH FORMS A PREREQUISITE TO OUR DELIVERY OF SERVICES AND ON WHICH YOU MAY REASONABLY RELY, BUT ONLY TO THE EXTENT THAT THE DAMAGES WERE DIRECTLY CAUSED BY THE BREACH AND WERE FORESEEABLE UPON CONCLUSION OF THIS AGREEMENT AND TO THE EXTENT THAT THEY ARE TYPICAL IN THE CONTEXT OF THIS AGREEMENT.

Which country's laws apply to any disputes?
If you are a consumer, please note that these terms of service, their subject matter and their formation, are governed by English law. We both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.
If you are a business, these terms of service, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
